The company was insolvent you silly. No one would buy an insolvent
business with potentially unlimited obligations if the buyer would have
to assume the company's obligations to creditors. Merging with a solvent
company is quite different from buying the insolvent business. Why would
you merge with an insolvent entity and assume the obligations, you
idiot? Got it now silly?
