Conceptually:

"modules" represent coherent stand-alone collections of components which
can be separately release managed.

"directories" are things inside modules which keep you from cluttering
the top-level module directory with all the files in one place.

Literally w.r.t. CVS:

"modules" are names, of selected directories, in the CVSROOT/modules file

"directories" are directories.
