I don't know if it is applicable to win2k, but do you have a `HOME'
environment variable set?  ON windows 9x emacs needs this variable
to know where the users home directory is.

I'm guessing that if this is present it will create .emacs.d in the
directory specified, which I'm assuming you will have write permission 
to.
